BY-LAWS OF THE EXECUTIVES CLUB OF WILMINGTON
ARTICLE I
Name
This organization shall be known as the Wilmington Executives Club; hereafter, referred to as the Club.
ARTICLE II
Purpose
Section 1. The purpose of this organization shall be to provide food, entertainment, and fellowship for its membership.
Section 2. The Club, as an organization, shall not, in any way, participate in the political candidacy of any member, nor shall the Club be used in any way for political purposes, or to support charitable or religious organizations. A member shall not use Club events as a forum for the conduct of business. (Unsolicited business cards shall not be handed out)
ARTICLE III
Membership
Section 1. Only persons deemed by the Board of Directors to be of good moral character shall be eligible for membership this Club. The membership shall be limited to 500 members, provided, however, that this number may be changed by the Board of Directors by majority vote.
Section 2. The Club offers two (2) types of membership 1 – Full membership (designed for couples) includes member and spouse/companion. 2 – Single membership (designed for single members) includes one member and dues will be one-half of full membership. Annual dues will be set by the Board of Directors.
Section 3. Guests are allowed by invitation of a fully paid member. Guests may attend one (1) event per year and shall pay an amount which equates to the member ticket price plus the subsidized amount derived from membership dues. If they wish to attend more events in a season, they must pay membership dues.
Section 4. Any member may resign from the Club by written notification to the Secretary. No refunds of dues shall be given.
ARTICLE IV
Officers
Section 1. The business and affairs of this Club shall be managed by a board of directors, numbering a minimum of 9 and a maximum of 15, who shall be nominated by members in good standing and approved by the Board of Directors.
Qualifications for Directors include:
1. Member in good standing of the WEC Club.
2. Attend all meetings of the board unless traveling or ill.
3. Actively recruit new members.
4. Take a team leadership role in at least one of the four annual club events.
5. Have email or comparable form of electronic access
Directors may be removed from the board by a majority vote of the Board of Directors for any reason, including inactivity. The Board of Directors shall elect a president and vice-president. The president and the Board of Directors shall appoint, from time to time, such committees as they deem necessary to conduct the affairs of the Club.
Section 2. The position of secretary/treasurer shall be the only paid position in the Club. The secretary/treasurer shall be responsible for setting up and managing all details associated with all dinner meetings. The secretary/treasurer is also responsible for billing, bookkeeping, and accounting and any other items that may arise. The Board of Directors shall conduct interviews with prospective candidates for this position and which must be approved by majority vote. The annual salary for this position will be set by a majority vote of the Board of Directors and from time to time can be adjusted in the same manner.
Section 3, The Board of Directors shall, by majority vote, fill all vacancies from the membership in that same year vacated.
Section 4. The Board of Directors of the Club shall hold office until June 30, at which time their successors have been duly elected and qualified. The term of office for officers of the Club is two (2) years, unless extended by a majority vote of the Board of Directors.
Section 5. Any Board member who has missed three (3) consecutive meetings will be removed from the Board. Exceptions: Illness and travel.
ARTICLE V
Officer Duties
President Duties
The club president is responsible for the overall operation of the social club. He directs all club meetings, delegates duties to all other officers,
and oversees the election for vice president, secretary, and treasurer. The president reports to an executive board.
Vice President Duties
The vice president may succeed the current president therefore must be fully engaged in all aspects of club activities.
● Presides at meetings in the absence of the president.
● Plans, coordinates, and committees to manage a series of
meetings and programs.
● Coordinates programs with the president and the board of directors
and executive committees.
● Provides data on previous club events to allow the event chair to
benefit from past experiences and suggestions for improvement.
● Provides timely and interesting advance information for
newsletters, social media, and mailings.
● Provides or coordinates information on forthcoming events to the
secretary for inclusion in meeting notices or newsletters.
● Ensures strong leadership succession by identifying and recruiting
new club volunteers.
● Provides mentorship to new officers.
Secretary/Treasurer Duties
● The secretary manages correspondence and maintains all club records, including club meeting minutes, attendance, elections, member
addresses, telephone numbers and club accounts.
● The treasurer manages the club bank account by depositing all money into a dedicated account and by paying authorized bills.
● The secretary/treasurer maintains receipts and disbursements and prepares financial reports such as filing tax documents and keeping up-to-date financial records in QuickBooks.
ARTICLE VI
Meetings and Events
Section 1. The fiscal year of the Club shall end on the last day in August each year at which time appropriate taxes shall be filed by the secretary/treasurer.
Section 2 The Board of Directors Meetings shall be held no less than four times a year. A quorum must be present conduct important business and to vote on all matters. A quorum shall be met when a majority of current Board members are present for the meeting.
Section 3 The Board of Directors shall endeavor to arrange for at least four (4) dinners each year, at such time, place, cost and entertainment as in their judgment shall best carry out the purpose of this organization.
Section 4. The Annual Board Meeting will be the first board meeting after the final event of the year.
ARTICLE VII
Fees, Dues, and Miscellaneous
Section 1. Annual dues shall be set by the Board of Directors, payable in advance of the first event. Annual dues for newmembers will be prorated for anyone joining after the first two (2) events of the season.
Section 2. Any member not paying annual dues after the first event of the year, or any member not paying for any attended events, shall be prohibited from attending any remaining events, until such time as the delinquent annual dues or event fees are paid in full.
Section 3. Members may have their privileges suspended by a 75% vote of the Board for grossly inappropriate behavior.
Section 4. Any changes to these bylaws may be instituted by a majority vote of the Board of Directors.
